JENNIFER COLLESANO ADAMS practices business law and litigation, real property litigation, e-commerce and Internet law, and criminal defense. Ms. Adams represents software developers and Internet businesses with respect to protection of technology rights, copyrights and trademarks, software licensing, protection of key personnel, Internet agreements, and e-commerce litigation issues. She litigates breach of contract claims and business torts issues on behalf of individuals, prime contractors and subcontractors. Ms. Adams also provides counsel to companies involved in mergers and acquisitions and advises clients in developing and forming domestic and international corporations, intercompany agreements, employment contracts, licenses, and joint ventures. She advises large and small businesses on federal procurement regulations, including the U.S. Small Business Administration eligibility requirements for small businesses, small disadvantaged and minority-owned businesses, and 8(a) contractors, and on compliance issues, including the Service Contract Act and Department of Labor requirements. She advises government contract clients on collection matters and bankruptcy reorganization and adversary proceedings. She pursues bid protests, small business size protests, claims for equitable adjustments and default terminations. Ms. Adams has extensive experience preparing claims and briefings for matters before the federal boards of contract appeals, federal district courts, and federal appellate courts. Ms. Adams has lectured on changes in government contracts, commercial contracting and offshore incorporation, and authored Choice Influencing Considerations for Determining the Organizational Structure of an Internet Gaming Operation, published in the Gaming Law Review. She is knowledgeable and sensitive to legislative affairs issues. Ms. Adams received her Juris Doctor, cum laude, from the Catholic University of America, Columbus School of Law, and her Bachelor of Arts from Cornell University. She currently pursues graduate studies in U.S. legal history at the University of Maryland, College Park. She is licensed to practice law in federal and state courts in Maryland, Virginia, and the District of Columbia. JASEN D. ADAMS provides counsel for commercial and residential real estate transactions, corporate law and company governance, and commercial and civil litigation. He advises clients on real estate settlements and acquisition issues nationwide, including entitlements and finance structuring on developments ranging from small residential developments to multi-billion dollar mixed-use communities. Mr. Adams advises start up businesses and Internet ventures on business and corporate law, financing, and capital raising, including complex corporate structures involving foreign corporate entities. Mr. Adams negotiates employment contracts, asset purchase agreements and other corporate matters. Mr. Adams founded Adams Title Company in January 2003 to complement his law practice. Adams Title Company performs commercial and residential real estate settlements throughout Maryland, Virginia and the District of Columbia. In 2004, he opened The Sterling Brokerage, LLC, a full-service real estate brokerage and property management company in Maryland. Mr. Adams is a former staff assistant for the Senate Judiciary Committee, Office of Senator Orrin G. Hatch, where he worked on a wide variety legislative issues including technology policy, competition and antitrust policy, drug policy, juvenile justice, and crime. He was involved in policy formation concerning mergers in the telecommunications industry, health-care industry, the high-technology industry, and the applicability of current antitrust laws to the emerging high-technology economy. He tracks legislation and policy matters for clients and assists clients to develop and implement legislative strategy. Mr. Adams earned a Bachelor of Arts from Cornell University and his law degree from George Mason University School of Law. Jasen serves as a class agent for the Hotchkiss School, Class of 1990, and he volunteers on the finance committee for Maryland State Senator Sandra Schrader. He is licensed to practice in the federal and state courts in Virginia, Maryland, and Utah. |
